This legal document is an agreement between you, the end user (‘User’), and Citi- Software Ltd (‘Author’).

AGREEMENT - By installing Access Manager (‘Software’), copying the Software and/or clicking on the ‘I Agree’ button during installation, you agree to all of the terms of this software license agreement (‘Agreement’).  If you do not agree with all of the terms of this agreement, click on the ‘I Do Not Agree’ button and/or do not install, copy or otherwise use the software.

INTELLECTUAL PROPERTY – The Software and any associated materials are protected by copyright law.  The package is a proprietary product of the Author.  The Author retains title to and ownership in the copyright of the software program and the associated materials.  You acknowledge that the Author owns all rights, title and interest in and to the Software, including without limitation all Intellectual Property Rights. ‘Intellectual Property Rights’ means any and all rights existing from time to time under patent law, copyright law, trade secret law, trademark law, unfair competition law, and any and all other proprietary rights, and any and all applications, renewals, extensions and restorations thereof, now or hereafter in force and effect worldwide.  You agree not to modify, adapt, translate, decompile, reverse engineer, disassemble or otherwise attempt to derive source code from the Software.

PERSONAL USE ONLY - The Software is made available to you for your personal, non- commercial use only.  Your license will be free to you for the term of the Agreement and you may: (a) install and use the Software on a single computer for your personal, internal use and in no event for the benefit of a company, for-profit entity, governmental entity, or educational institution; and (b) copy the Software for back- up or archival purposes.  Subject to the terms in this agreement, the Author grants you a non-exclusive, non- transferable license to install and to use the standard version of the Software.  You may not sell, lease, publish, license, sub-license or create derivative works from any software, materials or information associated with the Software, without first obtaining written permission from the Author by contacting Admin@Citi- Software.co.uk

UPGRADES - This license does not entitle you to any future upgrades or updates of software, although the Author may decide to make such upgrades or updates freely available. If you have comments about the Software or ideas on how to improve it, please e-mail Info@Citi-Software.co.uk.  Please note that by doing so, you also grant the Author permission to use and incorporate your ideas or comments into the Software without further compensation.

THIS SOFTWARE IS PROVIDED BY THE AUTHOR ‘AS IS’ AND ANY EXPRESS OR IMPLIED WARRANTIES, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE ARE DISCLAIMED. IN NO EVENT SHALL THE AUTHOR BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO, PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES; LOSS OF USE, DATA, OR PROFITS; OR BUSINESS INTERRUPTION) HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OF THIS SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

TERMINATION - This Agreement shall terminate automatically if you fail to comply with the all terms of this Agreement.  Upon termination, you must uninstall and destroy all copies of the Software.

GOVERNING LAW - This Agreement shall be governed by the laws of England.
